Investor Page Terms

Version 1.0 • October 30, 2026

Preamble

A. The company indicated in the imprint of the website (the "Company") has issued part of its shares as ledger-based securities ("Share Tokens"). The Share Tokens are governed by the registration agreement as published on the website of the Company (the "Website") and as amended from time to time (the "Registration Agreement").

B. The Share Tokens can be locked in other smart contracts, for example for the purpose of bridging them to another blockchain or to technically enforce a shareholder agreement. In such cases, for each locked Share Token, a placeholder token ("Wrapped Token") is generated, allowing the holder to indirectly control the underlying Share Token. Wrapped Tokens can be bound to additional agreements as published on the Website and as amended from time to time ("Token Agreements", such as token holder agreements). When Wrapped Tokens are offered or traded, the acquirer implicitly agrees with all applicable Token Agreements as well as the Registration Agreement.

C. The Website includes a page dedicated to shareholder relations (the "Investor Page"), typically available under a subdomain like shares.domain.com, where domain.com refers to the main page of the Company. Through the Investor Page, the Company informs about the issued securities and allows Share Token holders to register themselves as shareholders. It further can, without being obliged to, offer its own shares publicly or privately for sale ("Direct Investment") or enable the free trading of shares between interested parties ("Secondary Trading"). The functionality of the Investor Page is governed by the present Investor Page Terms (the "Terms").

1 Scope

These Terms apply to all persons that interact with the Investor Page (each a "User"). The User acknowledges and agrees that the Registration Agreement and the Token Agreements apply to the respective tokens.

2 Shareholder Registration

The Investor Page offers functionality for Users to register themselves as shareholders. Users agree to provide truthful information and to keep their information up to date. See also section 8 "Personal Data" for how the Company handles personal data.

3 Direct Investment

The Company may offer its own shares for sale, or offer to repurchase outstanding shares, determined at the sole discretion of the Company ("Primary Offer"). The offered shares can be in the form of Share Tokens or Wrapped Tokens ("Offered Tokens"). Primary Offers are non-binding until they are settled. The Company is free to return any bank transfers made by the Users instead of delivering shares in its sole discretion at any time and for any reason. The Company is also free to selectively make Primary Offers to some Users but not to others and to adjust the offered prices ("Primary Price") over time at its sole discretion, as long as it respects the rule of equal treatment of shareholders. All Primary Offers are settled directly between the User and the Company, without intermediary.

3.1 Payment Terms

For purchase transactions, the User shall pay the Primary Price as per the selected payment methods. The Company may change the available payment methods or refuse payments or certain payment methods in its sole discretion. Transaction fees and conversion fees are borne by the User. The Primary Price paid by the User and effectively received by Company in CHF might differ and the number of Offered Tokens to be allocated shall be based on the amount actually received.

In case of oversubscription or rounding down, the excessive amount that cannot be allocated shall be paid back to the User by Company, provided such difference exceeds thirty (30) Swiss francs (CHF). All the cost and expenses of the repayment are borne by the User.

Only payments from eligible persons as set out on the Website and herein will be accepted by Company. Company, in its sole discretion, may refuse to accept any person as User and may request further information, e.g., for KYC purposes, at any time from a potential or existing User.

In case the Company declines a purchase after the User has transferred funds, the Company shall refund the User on first request to an account indicated by the User.

3.2 Token Delivery

The User is required to provide an address that is compatible with the relevant blockchain, such as Ethereum or a supported Layer 2 network, of which the User is the beneficial owner (the "Recipient Address") for the delivery of the Offered Tokens. It is the User's sole responsibility to ensure that a correct address is provided and that the address is valid on the relevant blockchain.

Subject to (i) the User meeting all participation criteria as determined by the Company, (ii) the successful completion of the Company's onboarding process, (iii) availability of the Offered Tokens, (iv) the receipt of the Primary Price, (v) the User providing a Recipient Address, and (vi) the acceptance by the Company of the User's offer to purchase the Offered Token, the Company shall deliver the Offered Tokens to the Recipient Address.

4 Secondary Trading

At its sole discretion, the Company may enable and disable the possibility to trade Share Tokens or Wrapped Tokens ("Traded Tokens"), using blockchain-based smart contracts to settle trades between buyers and sellers without counterparty risk ("Trade Contracts"). The Trade Contracts are provided ‘as is’ and ‘as available’ in the spirit of a public utility for shareholders of the Company and the User acknowledges and agrees that the Company has only very limited control over the Trade Contracts. The Investor Page merely visualizes the information available on the blockchain and proposes transactions which the User then can independently communicate to the blockchain via its own wallet software. The Company can only suspend trading and cancel stale trades. The applicable fees are shown on the Investor Page. At no point has the Company any power of disposal over the Traded Tokens or the settlement currency. It also cannot override the price limits electronically signed by the Users. Neither being a shareholder nor performing individual trades constitutes financial intermediation or an ongoing business relationship between the User and the Company. If the Company requires identity verification for Secondary Trading, the User must complete it before placing orders. Secondary Trades are settled in supported cryptocurrencies only. Bank transfers are not available for Secondary Trading.

4.1 Order Matching and Price Determination

When entering an order, the User electronically signs structured data that includes an amount, a limit price, and an expiration date ("Signed Constraints"). Unexpired and funded orders are partially or fully executed as soon as there is a matching order on the other side that results in the bid-ask-spread being crossed after taking fees into account (if any) ("Secondary Trade"). Applicable fees are borne by the seller. If the cross exceeds what is necessary to cover the fees, the settlement price is chosen for the benefit of the more recent order. In case of multiple concurrent orders, the outcome of submitting an order can deviate from what was indicated on the Investor Page. Matching Signed Constraints are automatically routed to Trade Contracts for execution. The Trade Contracts are programmed such that they cannot allow a violation of the Signed Constraints.

The Users of the Trade Contracts are free to conclude purchase and sale agreements bilaterally outside of the Investor Page relating to the terms of the Secondary Trade, such as representations and warranties relating to the Traded Tokens. Unless expressly stated otherwise by the trading parties, the seller excludes all representations or warranties in relation to the Traded Tokens.

4.2 Settlement and Delivery

Secondary Trades are settled in one atomic transaction, ensuring that the Traded Tokens cannot be delivered without a payment and vice versa, eliminating the counterparty risk. The Traded Tokens and the settlement currency are withdrawn from one party and delivered to the other party within the same atomic transaction, to the respective address from which the order was signed. It is the responsibility of the User to ensure that they are using a wallet that supports the Traded Tokens as well as the settlement currency.

4.3 Fees

To cover its costs relating to the operation of the Investor Page and the setup and maintenance of the Trade Contracts, the Company may charge a fee on Secondary Trades. The fees are displayed on the Investor Page and directly subtracted from the settlement currency. For purposes of accounting, the fees are deemed to be paid by the seller.

4.4 Risk disclaimers

The Trade Contracts execute any Secondary Trades automatically based on the publicly available software code in accordance with its programmatic logic. Neither the Company nor any third party has the ability to reverse any Secondary Trades or otherwise impact the execution of the Secondary Trades in any way. The User acknowledges and agrees that it uses the Trade Contracts fully at its own risk without any liability or recourse whatsoever against the Company or any third party. Any claims against the counterparty of a Secondary Trade are the User’s sole responsibility and the User acknowledges and agrees that, beyond a blockchain address, there may be no information relating to the counterparty available.

The description of the functionality of the Trade Contracts in these Terms and on the Investor Page describes the intended functionality. However, the Trade Contracts may have known and/or unknown bugs, vulnerabilities or other malfunctions and may not work as described.

The Company is under no obligation to inform any Users of specific risks relating to individual Secondary Trades, including but not limited to high gas fees, mispricing or other potential errors or malfunctions.

The User further acknowledges that the technical functionality of the blockchain is such that frontrunning and other interventions by malicious actors may occur.

Neither the Company nor the Trade Contracts are subject to any regulatory approval or supervision relating to any trades conducted through the Trade Contracts and the Users are not protected by the financial market conduct rules applicable to the trading on supervised venues.

5 Company Representations & Warranties

The Company does not make any representations and warranties and all representations shall be fully excluded to the greatest extent permitted under applicable law. The User confirms that he/she has not relied upon any representation or warranty, express or implied, pertaining to the Share Tokens, the Wrapped Tokens, the Secondary Trades and/or the Company.

The Company provides the Investor Page "as is" without any warranty for its accuracy and often without human verification. The content is compiled using not only information entered by the Company, but also sources such as the public trade registry, public blockchains, Users (as governed by the separate privacy policy), market data providers, and others.

The User takes note that securities dealers (legal entities owning more than 10 million Swiss francs worth of securities) owe a 0.15% stamp duty when making use of the Secondary Trading. It is also the User's sole responsibility to withhold, collect, report and remit the correct taxes to the appropriate tax authorities.

8 Personal Data

The User acknowledges and agrees that the Share Tokens and/or Wrapped Tokens are issued on a public blockchain that is pseudonymous, not anonymous, in nature, meaning that any person that can associate the User's Recipient Address with the User can publicly view all token holdings, including Share Tokens and Wrapped Tokens associated with that Recipient Address, including the full history. By using the Investor Page, the User acknowledges and agrees that the Company processes personal data for the purpose of maintaining and administrating shareholder registries. The Company is legally obliged to collect, process and retain all information required for the shareholder registry in accordance with applicable laws and regulations. In particular, Swiss law requires shareholder data to be retained for 10 years even after the person ceased to be a shareholder.

The Company may use third party services to manage shareholder data. In particular, the Company can use the shareholder management tools provided by Aktionariat to store and maintain all data governed by these Terms. Users can manage their data through the Website or also through the Aktionariat Portfolio App. The User agrees to his registration data being synchronized with other issuers that manage their shareholder (or more generally token holder) registry for the purpose of keeping data consistent across issuers. The User further agrees to be automatically registered as a token holder with the respective issuer when receiving tokens from issuers that manage their token holder registry with Aktionariat.

Further information on how Aktionariat processes personal data, including details on data categories, purposes, legal bases, and data subject rights, can be found in Aktionariat’s Privacy Policy (aktionariat.com/privacy-policy). Note that Aktionariat is not party to these Terms and only bound to the Aktionariat Privacy Policy when handling shareholder data.
